Please read these Terms and Conditions carefully before using the SocietyVMS platform. These Terms govern your access to and use of our visitor management services, mobile applications, and web dashboard.

1. Acceptance of Terms

By accessing or using SocietyVMS (the "Platform"), including our mobile applications and web dashboard, you ("User") agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and SocietyVMS Technologies Pvt. Ltd. ("Company", "we", "our", "us"). If you are using SocietyVMS on behalf of a residential society, housing cooperative, or other organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

2. Description of Service

SocietyVMS provides a visitor management system for residential societies, offering the following services: Visitor Logging: Security guards can log visitor details, capture photos, and manage entries at the gate. Resident Approvals: Residents receive real-time notifications and can approve or reject visitors via the mobile app. Society Notices: Society Admins can publish, edit, and manage notices for residents. Resident Management: Admins can approve, reject, or suspend resident accounts within their society. Analytics Dashboard: Aggregated statistics on visitor activity and resident status for Admins. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with or without notice.

3. User Accounts and Registration

3.1 Account Creation To use SocietyVMS, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. 3.2 Account Security You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at info@adityaxinnovations.com if you suspect unauthorized access to your account. We are not liable for any losses resulting from unauthorized use of your account due to your failure to safeguard your credentials. 3.3 One Account Per User Each individual may maintain only one active account on the Platform. Creating duplicate or fraudulent accounts is prohibited. 3.4 Account Verification Society Admins are verified by our team before being granted administrative access. Residents are approved by the Society Admin after verifying their unit occupancy. We reserve the right to suspend or terminate accounts that cannot be verified.

4. User Roles and Responsibilities

4.1 Resident Residents are responsible for promptly responding to visitor approval requests. Residents must not share their credentials with security guards or other third parties. Residents are responsible for the accuracy of approvals they grant. 4.2 Security Guard Security guards must accurately record visitor information. Capturing photographs without the visitor's knowledge or consent for any purpose other than visitor verification is prohibited. Guards are responsible for verifying visitor identity before entry. 4.3 Society Admin Admins are responsible for the accuracy of society information on the Platform, managing resident records responsibly, ensuring notices published comply with applicable laws, and maintaining appropriate access controls for their society. 4.4 General Obligations All users agree to use the Platform only for its intended purpose, refrain from sharing access credentials, report security vulnerabilities responsibly to info@adityaxinnovations.com, and comply with all applicable local laws.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities: Unauthorized Access: Attempting to access accounts, systems, or data you are not authorized to access. Reverse Engineering: Decompiling, disassembling, or reverse engineering any part of the Platform. Data Scraping: Using automated tools to scrape, extract, or harvest data from the Platform. Impersonation: Impersonating any person, resident, guard, or organization on the Platform. Harassment: Using the Platform to harass, threaten, or intimidate other users. Fraudulent Entries: Logging false visitor entries or approving fictitious visitor requests. Circumventing Security: Attempting to bypass authentication, authorization, or other security measures. Malicious Code: Uploading or transmitting viruses, malware, or any other harmful code. Commercial Exploitation: Reselling, sublicensing, or commercializing the Platform without our written consent. Violation of these prohibitions may result in immediate account suspension and potential legal action.

6. Visitor Data and Photography

6.1 Consent to Photograph By using the security guard module of SocietyVMS, you agree to inform visitors that their photograph will be captured for identity verification purposes and that this photograph will be shared with the resident being visited. 6.2 Purpose Limitation Visitor photographs may only be used for visitor identity verification within the Platform. Any other use — including sharing photographs externally, using them for commercial purposes, or storing them outside the Platform — is strictly prohibited. 6.3 Visitor Rights If a visitor requests deletion of their photograph, the Society Admin should contact us at info@adityaxinnovations.com. Photographs are automatically deleted after 90 days per our data retention policy. 6.4 Society Responsibility The residential society (represented by the Society Admin) bears responsibility for ensuring visitor photography practices comply with applicable laws in their jurisdiction.

7. Intellectual Property

7.1 Ownership All intellectual property rights in the SocietyVMS Platform, including software, design, trademarks, logos, and documentation, are owned by SocietyVMS Technologies Pvt. Ltd. or its licensors. Nothing in these Terms grants you any ownership rights in the Platform. 7.2 License We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose during the term of your subscription. This license does not include the right to copy, modify, create derivative works, reverse engineer, or exploit the Platform commercially. 7.3 User Content By submitting content to the Platform (including notices, announcements, and visitor logs), you grant us a non-exclusive, royalty-free license to use, store, and process such content solely to provide the Platform services.

8. Payment and Subscription

8.1 Subscription Plans SocietyVMS is offered on a subscription basis. Current pricing is available on our website and is subject to change with 30 days' notice. 8.2 Payment Subscription fees are billed in advance (monthly or annually). Payments are processed through our authorized payment gateway. All fees are non-refundable except as expressly stated in our Refund Policy. 8.3 Free Trial We offer a 14-day free trial for new societies. At the end of the trial, your account will require a subscription to continue. We will notify you 3 days before the trial ends. 8.4 Late Payment Failure to pay subscription fees may result in suspension of your society's access. Access will be restored within 24 hours of payment clearance. 8.5 GST All fees are exclusive of applicable Goods and Services Tax (GST). GST will be charged at the applicable rate as per Indian tax laws.

9. Limitation of Liability

9.1 Disclaimer of Warranties THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 9.2 Limitation TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIETYVMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR ANY SECURITY BREACH AT YOUR SOCIETY PREMISES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. 9.3 Maximum Liability IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US FOR THE PLATFORM IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 9.4 Security Responsibility SocietyVMS is a software tool to assist visitor management. We do not guarantee the physical security of your premises. Physical security decisions remain the sole responsibility of the society and its security personnel.

10. Indemnification

You agree to indemnify, defend, and hold harmless SocietyVMS Technologies Pvt. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: Your violation of these Terms. Your use of the Platform in a manner not authorized by these Terms. Your violation of any applicable law or regulation. Any content or data you submit to the Platform. Any dispute between you and another user of the Platform.

11. Termination

11.1 By You You may terminate your account at any time by contacting info@adityaxinnovations.com. Termination does not entitle you to a refund of prepaid subscription fees. 11.2 By Us We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment of fees, or if we determine that your use poses a risk to other users or the Platform. 11.3 Effect of Termination Upon termination, your right to use the Platform ceases immediately. We will retain your data for 30 days after termination to allow for data export requests, after which it will be permanently deleted subject to our legal obligations.

12. Governing Law and Dispute Resolution

12.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. 12.2 Jurisdiction Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India. 12.3 Dispute Resolution Before initiating any formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If resolution cannot be reached within 30 days, either party may proceed with formal legal action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by: Emailing registered society administrators. Displaying an in-app notification. Updating the "Last Updated" date on this page. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Platform.
